These Terms and Conditions (“Terms”) govern your access to and use of Janus, a product provided by Talvern (“Talvern,” “we,” “our,” or “us”).
By accessing or using Janus, you agree to be bound by these Terms.
If you do not agree, do not use the service.
1. About Janus
Janus is revenue governance software designed for senior living operators. It provides intake tracking, follow-up monitoring, reporting, forecasting, and related analytics tools.
Janus is not a medical system and is not intended to replace electronic health record (EHR) platforms.
2. Eligibility
You must be at least 18 years old and authorized to act on behalf of your organization to use Janus.
By using the service, you represent that:
You have authority to bind your organization.
Your use complies with applicable laws and regulations.
3. Account Registration
To use Janus, you must create an account.
You agree to:
Provide accurate information.
Maintain the security of your login credentials.
Notify us immediately of unauthorized access.
You are responsible for all activity under your account.
4. Use of the Service
You agree to use Janus only for lawful business purposes.
You may not:
Reverse engineer or attempt to extract source code.
Copy, resell, sublicense, or exploit the service without authorization.
Use the service to transmit unlawful or harmful content.
Upload protected medical data beyond what is necessary for intake tracking.
Talvern reserves the right to suspend or terminate accounts that violate these Terms.
5. Data and Customer Content
You retain ownership of all data you upload to Janus (“Customer Data”).
By using Janus, you grant Talvern a limited license to:
Host
Process
Analyze
Store
Customer Data solely for the purpose of providing the service.
Talvern does not sell Customer Data.
You are responsible for ensuring that your use of Janus complies with applicable data protection laws.
6. AI Features
Janus may provide AI-powered features, including summarization and classification tools.
You acknowledge that:
AI outputs are generated automatically.
AI results may contain errors.
AI recommendations are advisory only.
Talvern is not responsible for business decisions made based on AI outputs.
7. Fees and Payment
If you enroll in a paid subscription or pilot:
Fees will be outlined in your service agreement or invoice.
Payment terms will be specified at the time of purchase.
Failure to pay may result in suspension or termination of access.
All fees are non-refundable unless otherwise agreed in writing.
8. Intellectual Property
Janus, including its software, design, structure, algorithms, and branding, is the exclusive property of Talvern.
You may not:
Copy or modify the platform.
Use Talvern trademarks without permission.
Create derivative works from the platform.
All rights not expressly granted are reserved.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary or non-public information shared during the relationship.
Confidential information does not include information that:
Is publicly available.
Was already known prior to disclosure.
Is independently developed without use of confidential materials.
10. Disclaimers
Janus is provided “as is” and “as available.”
Talvern makes no guarantees regarding:
Revenue increases
Occupancy improvements
Specific financial outcomes
While Janus is designed to help identify revenue leakage and improve intake performance, results depend on user execution and operational factors.
11. Limitation of Liability
To the maximum extent permitted by law:
Talvern shall not be liable for:
Indirect damages
Lost profits
Business interruption
Data loss
Consequential damages
Talvern’s total liability under these Terms shall not exceed the total amount paid by you in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold Talvern harmless from claims arising from:
Your misuse of the service.
Your violation of applicable laws.
Data uploaded in violation of regulations.
13. Termination
You may terminate your account at any time.
Talvern may suspend or terminate access if:
You violate these Terms.
Payment obligations are not met.
Continued use poses legal or operational risk.
Upon termination, access to the platform may be revoked.
14. Governing Law
These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles.
Any disputes shall be resolved in courts located in California.
15. Changes to These Terms
Talvern may update these Terms periodically.
Updated Terms will be posted with a revised effective date.
Continued use of Janus after changes constitutes acceptance.
